Background notes on structure

by David W. Oaks last modified 2008-02-21 16:07

Based on feedback from committee working on governance, here are notes used for the draft bylaws for OCSC, including geographic diversity plan. See link in "related content" at bottom to download the draft bylaws that arose from this.

OCSC Structure - Abbreviated

ASSEMBLY: These are the electors made up of a representative from each coalition group plus any "at large" members appointed by the assembly needed to achieve geographic diversity.

The assembly will have at least two members residing in each of the five areas below (so its minimum size is 10). There is no limit to the size of the assembly.

As the assembly grows, the goal is to have at least ten (10) percent of the assembly composed of individuals residing in each area.

The assembly annually elects the board. After the first election terms will be staggered.

BOARD: The board will be a size between 5 and 15. A slot on the board is reserved for a member residing in each of the five areas below. The maximum limit of board members residing in an area will be three.
